Edward Albowicz represents commercial lenders, finance companies and venture capital funds (agent banks, bank groups and individual commercial lenders) in domestic and international secured and unsecured finance transactions. He has structured and negotiated transactions involving asset-based lending, venture capital finance, domestic and international trade finance, commercial and industrial lending, acquisition finance, middle market lending and private equity finance.
Edward has also worked in the sports agency industry and has handled marketing and sponsorship contracts for Major League Baseball players. He practices entertainment law through the representation of artists, television producers, movie producers, music production companies, artists in contract negotiation, talent representation, artist/talent management and agreements and other legal matters.
Edward also maintains a governmental affairs practice and is head legal counsel for the New Jersey Vapor Retailers Coalition.
Edward has an extensive background in drafting and negotiating loan documentation, including loan agreements, pledge agreements, mortgages, security agreements, guarantees, subordination agreements and intercreditor agreements. He has structured, documented and negotiated distressed debt trade transactions, swap transactions (including International Swaps and Derivatives Association schedules), receivable purchase transactions and receivable participation transactions. Edward has negotiated loan participation and assignment agreements as well as control agreements, commodities futures account control agreements, securities account control agreements and warehouse and terminal control agreements.
