Russell Bulkeley is a Member in the Firm’s Business Law and Securities Practice Groups. Russell represents companies in all stages of development on a transactional basis, structuring and negotiating: (i) registered public offerings and exempt private placements of equity, debt, and hybrid securities; (ii) loan facilities and other debt financings; (iii) corporate restructurings; and (iv) mergers and acquisitions and other business transactions and alliances. As part of his practice, he routinely counsels company boards and management, advising with respect to company organization, equity and control arrangements, governance, commercial contracts, corporate finance, and other corporate and securities law matters.

Russell also represents domestic and international public companies in a variety of primary and secondary offerings and advises on capital market transactions and related regulatory compliance (SEC, FINRA and other reporting regimes), as well as periodic company reporting obligations under the federal securities laws (Forms 10-K, 10-Q and 8-K) and related proxy solicitations and beneficial owner/management reporting obligations (Forms 3, 4 and 5 and Schedules 13D and 13G.)

In addition to his company-side representation, Russell advises private equity funds in connection with their portfolio investments, including providing guidance with respect to investment vehicles, governance, initial and follow-on investments, mezzanine financing, recapitalizations and exits.
